VANTA OS Terms of Service and Personal Software License

Version 1.2 | Issued October 1, 2026

1. Seller, scope, and agreement

Titan Forge Industries, LLC, a Missouri limited liability company ("Titan Forge," "we," "us"), supplies VANTA OS. Our mailing address is 104 Swan Dr, Park Hills, MO 63601, United States. Our business contact is Bryce Courtney. Contact us at [email protected].

These Terms govern VANTA OS purchases, purchaser accounts, license and activation services, and the Windows beta software. They do not grant rights to other Titan Forge projects or replace a separately signed commercial or services agreement. Our corporate website's research and press materials describe projects, not guaranteed product capabilities or a commitment to deliver future features.

You agree to these Terms through an expressly labeled acceptance control presented with access to these Terms before purchase or account enrollment. Merely browsing our website, receiving an email, or saving a cookie preference does not establish acceptance of this software contract. The version you accept applies to your purchase; these Terms do not retroactively replace an earlier agreement without your agreement or a lawful basis.

The Refund Policy forms part of these Terms. The Privacy Policy explains our handling of personal information; acknowledging that notice is not consent to optional analytics or marketing.

2. Eligibility and initial market

Initial VANTA OS sales, including personal and commercial licenses, are limited to purchasers in the United States. Personal purchasers must be United States residents. Commercial availability and the licensed entity must be confirmed in the separately signed agreement. You must be at least 18 and legally able to enter this agreement. Provide accurate purchase and account information and use only a payment method you are authorized to use. You may not bypass geographic, payment, or activation restrictions. Using the software must comply with applicable laws, including export restrictions and sanctions.

3. One-time price and verified payment

The personal license costs USD $49.99 once. It is not a subscription and does not authorize recurring charges. Any applicable tax and the total payable must be disclosed before payment. Third-party model usage, subscriptions, internet access, and hardware are separate expenses.

Purchases occur on our website through Stripe-hosted Checkout, not by submitting payment-card information to the desktop app. Entitlement is issued only after our server verifies a successful paid payment notification. A return page, pending bank transfer, receipt of an unverified message, or creation of an account is not proof of entitlement. Delayed payment methods may require additional time to succeed. We do not activate an unpaid, failed, fully refunded, or finally reversed order. Partial refunds and temporary payment restrictions are addressed in Section 10.

Do not knowingly purchase another personal license for an account that already owns one. Contact support about mistaken or duplicate purchases; additional business seats require a commercial agreement.

Delivery is digital; there is no physical shipment. After verified successful payment, we send a license-key email to the purchase address. Use the official download location identified in the purchase flow and redeem the key once in your verified purchaser account before activating the installed software. A queued email, pending payment, or return-page redirect does not mean the key has arrived or activation has completed. Payment processing, security checks, and email delivery can cause delays. Check spam filtering and contact support if the key or official download is unavailable. We will investigate delivery failures and provide purchased access or an appropriate remedy; we do not promise instantaneous email delivery.

4. Personal, non-commercial license

After verified payment, we grant the individual purchaser a non-exclusive, non-transferable license to install and use the purchased VANTA OS beta for personal, non-commercial purposes on up to two active devices under that individual's control. The license has no scheduled subscription renewal or expiration, but remains subject to the payment, activation, termination, and service-availability provisions below. We commit to providing the account and licensing services required to use your purchased beta for at least 12 months after your successful payment, as explained in Section 9. The one-time price does not guarantee lifetime service operation. Because online entitlement checks are required, ending those services without an equivalent solution may prevent use of an already downloaded version. Neither that dependency nor a beta designation excuses our express service commitment or limits remedies required by law. This is a license to software, not ownership of its source code or intellectual property.

Permitted uses include home-computer use, personal projects, hobbies, your own non-commercial education, and everyday personal activities. Personal study does not become organizational use solely because you are enrolled at a school. Personal use excludes performing employment duties, providing services to clients, operating or promoting a business, developing work intended for commercial sale or paid distribution, and performing a school's, charity's, nonprofit's, employer's, business's, or other organization's operations or services. A personally owned device, unpaid work, or nonprofit status does not authorize an otherwise excluded use. Before using VANTA OS for commercial activity involving a personal project, obtain a separate commercial license. This restriction governs use of VANTA OS, not ownership of your independently owned content. Contact us if your intended use is uncertain.

One license belongs to one purchaser account, not a household or shared team. Other people need their own entitlement. You may keep reasonable backup copies for your own licensed use; inactive backups do not add active device slots. You may replace a device by releasing an existing slot and activating another. A normal update retaining the same installation identity does not require another purchase or redemption. A reinstall, lost credential store, or new installation identity may require releasing an older slot.

You may not sell, rent, lend, sublicense, distribute, or share an account or license key; impersonate a purchaser; circumvent activation controls; or remove proprietary notices. Restrictions on reverse engineering apply only to the extent permitted by law and do not restrict rights under an applicable open-source license, lawful interoperability exception, or other nonwaivable right.

5. Commercial and enterprise use

Any business or organizational use requires a separate written commercial license. Commercial arrangements may cover multiple seats and are billed by a yearly invoice on separately agreed terms. The $49.99 personal purchase does not include commercial rights or act as an enterprise deposit. Email [email protected] for a quote. Seats, prices, invoice due dates, annual term, renewals, cancellation, support, and deployment rights are established in an agreement signed by authorized representatives of Titan Forge and the licensed entity. A quote supplies contractual terms only if that agreement expressly incorporates it. Unless the signed agreement states otherwise, it controls over an incorporated quote and the public commercial policy. An inquiry, unsigned quote, purchase order, or payment alone does not grant commercial deployment rights.

6. Account, one-time redemption, and recovery

Use a verified email account that you control. The first redemption must use the account matching the purchase email. Redeeming the emailed key binds that verified paid license to that purchaser account; subsequent sign-in and device activation do not require redeeming the key again. This binding persists while the order and entitlement remain valid and is not permission to transfer ownership to another person.

Keep email access, sign-in codes, tokens, and license keys private. Never send them to support in an ordinary message. Device release may require a fresh email verification code. We may apply proportionate security and rate limits. If you lose email access, need an email correction, or cannot release a device, contact support. Recovery requires sufficient evidence of ownership and may need manual review; possessing a key alone does not authorize taking over an account. Automatic email change, cross-account license transfer, and automatic recovery without verified ownership are not promised.

Sign-out does not delete your account, purchase records, or local projects. Request account closure through support. We will explain the effect on access before closing an account; closure is not a refund request and may disable account-dependent activation. Records reasonably needed for ownership, accounting, fraud prevention, or legal obligations may be retained as explained in the Privacy Policy.

7. AI models, ordinary Chat, and agent tasks

You choose and configure a local model or bring-your-own-key (BYOK) provider. Third-party accounts, usage charges, terms, availability, content handling, and model licenses are separate. A local model still requires compatible hardware and the applicable model license. VANTA OS is not an included hosted AI subscription.

Ordinary Chat does not authorize agent tools, shell commands, schedules, or file writes. Agent tasks are a separate, explicitly started mode and may access or change files, invoke integrations, or run permitted tools according to your configuration. Review permissions and outputs before authorizing consequential actions. Third-party integrations and software you run may have their own capabilities and terms.

You retain your rights in content you supply. Titan Forge does not acquire ownership of your projects or claim exclusive rights in AI outputs. Outputs may be inaccurate, incomplete, insecure, biased, or similar to another user's output. No uniqueness, copyright eligibility, noninfringement, or suitability for a particular decision is guaranteed. Independently verify important results. VANTA OS is not a substitute for professional legal, medical, financial, engineering, or other regulated advice and is not designed as a life-critical control system. Do not use it to commit fraud, violate others' rights, or perform unauthorized access or unlawful activity.

8. Windows beta, installation, and online activation

The initial beta targets Windows 11 on x64 hardware with a supported Microsoft WebView2 runtime. Model requirements vary. Other operating systems, architectures, older Windows releases, and managed-device policies are not promised to be compatible. Review the published release's system requirements before purchase.

The beta may contain defects and may change. Back up important local projects and conversations. Installation or use does not guarantee that every roadmap feature exists. Stop a task and contact support if you encounter unexpected behavior.

The initial Windows installer does not have a trusted Windows publisher (Authenticode) certificate. Windows may display Unknown publisher or SmartScreen warnings, and managed devices may block installation. Tauri updater signatures verify update artifacts but do not replace Windows publisher signing or guarantee warning-free installation. Do not disable organizational security controls to install VANTA OS.

An internet connection is required for account sign-in, activation, and recurring entitlement checks, even when you select a local AI model. Loss of connectivity or unavailable account/licensing services can lock software access. This beta does not promise offline activation, perpetual availability of activation servers, or cloud backup of your local projects.

9. Included beta updates and support

An active personal license includes the VANTA OS beta updates we publish for that licensed beta product during its beta program without another purchase. We do not promise an update frequency, minimum number of releases, indefinite maintenance, future experimental features, or entitlement to a separately priced product or major successor. If we offer a paid successor, its scope and price will be disclosed separately; accepting it is optional and creates no automatic charge.

Ending the beta program does not by itself turn your existing license into a subscription or revoke paid rights to an already supplied version. For each paid personal license, we will maintain the account and licensing services required to use the purchased beta for at least 12 months beginning when that purchase successfully completes. This minimum service period does not promise uninterrupted operation, device compatibility, third-party model availability, cloud backup, or additional features. Temporary interruptions and justified individual restrictions under Section 11 do not cancel the minimum service commitment.

After your minimum service period, we may permanently discontinue required services only with at least 60 calendar days' advance notice to your verified account or purchase email and a notice on our website. A general shutdown must respect the minimum service period of each affected purchase; ending the beta program does not shorten a later purchaser's period. If we permanently end the access needed to use your purchased beta during that period without providing a reasonably equivalent means of using the purchased version at no additional license charge, we will provide a full refund of that purchase under the Refund Policy. A business transfer does not remove this obligation. Refunds after that period and other remedies remain available where required by law. These promises do not guarantee lifetime service.

Updates are offered through the designated release feed and require your confirmation to install. We may recommend an update for security or compatibility and may restrict a version posing a substantiated security risk. Do not rely on an installer from an unofficial source.

Email support is available at [email protected]. Business telephone: +1 (573) 246-0309, Monday through Thursday, 1 p.m. to 9 p.m. Central Time, excluding holidays and unexpected closures. Support is not a 24-hour service or a guaranteed response-time agreement. Commercial service levels require a separate agreement. Refund handling is governed by the more specific timing in the Refund Policy.

10. Refunds, payment disputes, and access restrictions

The Refund Policy provides a seven-day voluntary refund window and explains the separate remedy for an early permanent service shutdown. A full refund or final payment reversal ends the associated entitlement and activations. A refund request alone, including an unverified third-party request, does not authorize a refund or license restriction.

A successful partial refund, including a correction of collected tax alone, does not by itself end an otherwise valid personal license. Before agreeing to a voluntary partial refund, we will explain its amount and any separately agreed effect on access; a partial credit is not consent to surrender the license. A full refund of the settled purchase total, including collected tax, ends the associated entitlement. We reconcile multiple refunds against that entire total. These rules do not reduce mandatory remedies or permit us to withhold a required tax correction.

A pending refund or open payment dispute temporarily restricts account-dependent access under the beta's payment controls while the current payment status is verified. A dispute alone is not a finding of misconduct or a ground for permanent termination. Our server checks current payment-provider records: when a pending refund fails or is canceled, or a dispute is resolved in favor of valid payment, access to the same account-bound license is restored automatically if no other payment restriction applies. That restoration does not create another license, require another key redemption, or reactivate a device you previously released. A full refund or final payment reversal ends the associated entitlement and is not reversed merely by a late payment-success message. Verification or delivery failures, conflicting records, and historically mistaken revocations may need support review; instantaneous restoration is not promised. Contact support to challenge a mistaken restriction. You do not have to withdraw a lawful dispute to receive review or restoration.

We may provide accurate purchase, delivery, redemption, activation, and relevant support records to the payment processor or issuer to investigate a dispute. We do not impose an automatic chargeback penalty, require withdrawal of a lawful dispute as a condition of support, or prevent exercising statutory billing-error or consumer rights. Refunds and payment-provider credits attributable to the same purchase are reconciled against the amount paid. We may account for a credit already provided when determining the remaining amount owed, without reducing unrelated mandatory remedies. We will not initiate an additional charge without your authorization.

11. Suspension, termination, and fair review

We may proportionately restrict access for verified nonpayment, payment reversal, material license breach, unauthorized account use, or a substantiated security threat. When reasonable and lawful, we will explain the basis and allow at least 14 calendar days to cure a remediable breach before permanent termination. Immediate restriction may be necessary for payment status, active abuse, security, or legal obligations. Contact support to challenge a mistaken decision; we will review relevant evidence and restore access when a restriction was mistaken or its basis is resolved and the entitlement remains valid. Restoration may require manual review and is not automatic. We do not terminate a paid license merely because you post an honest negative review, seek a lawful refund, or make a good-faith complaint.

You may stop using and uninstall the software at any time. Termination ends permission to use the software and active account-dependent services but does not transfer ownership of your local content to us. Payment/account provisions needed to resolve outstanding matters, intellectual-property protections, lawful limitations, and dispute provisions survive termination to the extent applicable.

12. Warranty disclaimer and preserved promises

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE BETA SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT TO THE EXTENT THEY MAY LAWFULLY BE DISCLAIMED. WE DO NOT GUARANTEE ERROR-FREE OR UNINTERRUPTED OPERATION, ACCURATE AI OUTPUTS, OR COMPATIBILITY WITH EVERY DEVICE OR PROVIDER.

This disclaimer does not negate an express promise made in these Terms or the offer you accepted, the Refund Policy, or warranties and remedies that applicable law does not allow us to exclude. State law may give you additional rights. Describing software as beta does not excuse misrepresentation or failure to provide purchased access as agreed.

13. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE UNDER THIS AGREEMENT FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES. TITAN FORGE'S AGGREGATE LIABILITY ARISING FROM THE PERSONAL LICENSE AND RELATED SERVICES WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID TITAN FORGE FOR THAT LICENSE.

These limitations do not restrict a refund owed under the Refund Policy or the minimum service commitment in Section 9, liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, statutory remedies, or any liability or remedy that cannot lawfully be limited. If a limitation is unlawful or a limited remedy fails its essential purpose, applicable law controls. We do not require consumers to indemnify us for our own misconduct.

14. Law and dispute resolution

Missouri law governs this agreement except where applicable federal law or mandatory protections of your state of residence control. For disputes under this agreement, the parties consent to the competent state courts in St. Francois County, Missouri, or the United States District Court for the Eastern District of Missouri when federal jurisdiction exists, except where mandatory law gives you a right to another forum. You may bring an eligible claim in your local small-claims court where permitted.

Contact support if you wish to attempt informal resolution. Doing so is encouraged, not a condition that shortens legal deadlines or blocks a claim, regulatory complaint, payment dispute, or urgent court relief. These Terms do not impose mandatory arbitration, a class-action waiver, a jury-trial waiver, or a shortened statutory limitations period. Each party's responsibility for costs and attorney fees follows applicable law or a court order, not an automatic penalty in these Terms.

15. Changes, intellectual property, and general provisions

Titan Forge and its licensors retain rights in VANTA OS, its branding, and accompanying materials. Third-party/open-source components remain governed by their applicable licenses, which control for those components in case of conflict. These Terms do not grant ownership of any third-party model.

We may publish new dated terms for future purchases and request affirmative agreement for material changes to an existing contract where required. Updating a web page alone does not retroactively remove purchased rights or existing claims. Non-material notices and operational information may be updated without changing the accepted purchase bargain. Privacy changes are addressed in the Privacy Policy.

If a provision is unenforceable, the remaining provisions continue to apply insofar as lawful; a court may sever or limit the affected provision without adding a prohibited consumer restriction. Failure to enforce a provision once is not a waiver. These Terms, the incorporated Refund Policy, and the specific offer accepted at purchase form the personal-license agreement; a separately signed agreement controls within its scope. A successor to our business may assume this agreement only subject to existing obligations and applicable law.

16. Contact and notices

Purchase, access, refund, privacy, and commercial inquiries: [email protected]. Postal correspondence: Titan Forge Industries, LLC, Attn: Bryce Courtney, 104 Swan Dr, Park Hills, MO 63601, United States. Formal service of legal process must follow applicable law; this support address is not a substitute for legally required service on the registered agent. We may send account and service notices to your verified email and provide notices in the website or software, subject to applicable notice requirements.
